Associate Director Contracts
We are seeking an Associate Director of Contracts who will report to the Director, Contracts & IP Operations and will manage a team of contracts associates who are responsible for the drafting, review, negotiation, analysis, and maintenance of legally binding transactional agreements, including agreements for collaborative research, technology licensing, startups, material transfer, and confidential disclosure agreements. This position also serves as the primary drafter/negotiator on these agreements.

Johns Hopkins Technology Ventures (JHTV) supports the commercialization of university technology through (a) technology licensing, (b) the development of corporate research collaborations and (c) venture creation. JHTV serves as a business advisor to investigators at all nine schools of the university whose research has commercial potential and provides a set of specific resources to aid them in applying world-class science to the market in industries ranging from biotech to industrial manufacturing and energy. We also run specialized programs for student entrepreneurs and social impact ventures, aiming to activate the talent across campus and the Baltimore community and turn ideas into action. Specific Duties & Responsibilities:
  • With oversight from the Director, Contracts & IP Operations, prepares, reviews, negotiates, and approves contracts including but not limited to, inter-institutional agreements, collaborative research agreements, intellectual property licenses, startup agreements, repository agreements, and various other contractual documents, ensuring consistency with JHTV's goals as well as JHU policies and legal obligations.
  • Supervises staff who perform the primary transactional actions identified above, including recruiting, hiring, performance management, training, development and discipline. Provides contract review and drafting support to JHTV licensing professionals as requested.
  • Designs and implements policies and procedures to support review, negotiation, drafting, quality control and compliance for JHTV agreements to ensure compliance with university policies and federal regulations.
  • Participates in strategic planning for the Contracts Group related to policy, organizational structure, process, outreach, and professional growth and development of JHTV staff. In coordination with the Director, Contracts & IP Operations, assess gaps and overlaps in business processes and lead efforts to analyze and streamline processes to improve organizational metrics, performance and service levels and ensure consistency across the office. Applies process improvement and efficiency methods and standards for JHTV processes and operations.
  • Works with support staff and computer systems to ensure proper docketing, accurate data collection and management of compliance activities.
  • Manages and maintains agreement and negotiation records in the JHTV Agreements database.
  • Uses Microsoft Office software to assemble, manipulate and format agreement documents and reports.
  • Participates in development and delivery of faculty education and outreach programs.
  • Collaborates and communicates with faculty, other JHU staff members, other JHTV staff members, JHU legal counsel and third-party representatives by email, telephone, and in person.
  • Performs other duties as required.


Scope of Responsibility:
  • Works under the direct supervision of the Director, Contracts & IP Operations in conducting all activities.
  • Manages subordinate staff and is responsible for the overall direction, coordination, and evaluation of the Contracts team.
  • Motivates team and provides strong leadership; hires and trains associates; plans, assigns, and directs work; executes performance management; and addresses employee relations matters in a timely fashion.
  • Sets clear performance expectations, provides feedback to others, recommends training and coaching when appropriate, ensures recognition for results and takes corrective action to resolve performance problems as appropriate


Decision Making:
  • Exercises independent judgment and make decisions concerning acceptable terms and conditions in MTA's and NDA's.
  • Make recommendations concerning processes and procedures for contract review, negotiation, drafting and analysis.
  • Makes recommendations regarding substantive contract language, negotiation strategy, potential risk, and projected contracting cost.
  • Does not provide legal advice, but may present issues to the Director, Contracts & IP Operations and Office of General Counsel and interpret and implement GC's legal advice.


Authority:
  • Directs the activities of staff or a function. Subject to approval under JHU's signature authority policy, signs MTA and NDA documents on behalf of the University.


Minimum Qualifications (Mandatory):
  • Bachelor's Degree (Science or Engineering Field preferred) and JD required.
  • At least seven years' experience with contract review, drafting and negotiation.
  • At least five years' experience in technology transfer/management, licensing, marketing or business development.
  • Supervisory experience with direct report management, with a proven background to successfully lead a team of professionals to accomplish the work and foster career development.
  • At least one-year project management experience preferred.
  • Experience using contract lifecycle management systems and databases preferred.

Special Knowledge, Skills & Abilities:
  • US Citizen or Legal Permanent Resident required due to Federal Export Controls.
  • Must be able to understand, review, draft and negotiate technology transfer agreements with substantial intellectual property terms incorporating complex technology and business concepts, and must ensure compliance with JHTV's goals and JHU's policies.
  • Work experience should demonstrate ability to conceptualize how to find solutions and reach consensus and to complete complex tasks efficiently.
  • Must be customer service centric with focus on faculty interactions and communication.
  • The position requires exceptional oral and written communication skills.
  • Must have ability to multi-task under deadline pressure and be able to reprioritize accordingly.
  • Exceptional interpersonal skills and strong customer service orientation, with a proven ability to deal professionally, tactfully and effectively with all types of customers, including faculty, university staff members, and legal and business contacts at external entities.
  • Must work as a team player and collaborate well with numerous stakeholders.
  • Requires a detail-oriented person that is well-organized and excels at workload management with the ability to prioritize multiple projects simultaneously with limited oversight while operating under deadlines.
  • Must possess excellent verbal and written communication skills.
  • Must be able to handle ambiguity and exercise judgment.
  • Must be able to work independently and as part of a team.
  • Competence in Microsoft Office applications (Word, Outlook, Excel, etc.).
