As a senior member of the licensing team, this individual will pro-actively build and expand relationships with faculty, staff, post-docs and students at Penn on behalf of PCI with primary emphasis on the School of Veterinary Medicine (SOVM), School of Dentistry (SOD), School of Nursing (SON) and Graduate School of Education (GSE), in addition to supporting the Law School, the School of Social Policy & Practice, and the Annenberg School of Communication, as required. Duties and responsibilities include (a) working closely with investigators in these schools to identify projects, developments and inventions of commercial interest, (b) facilitating the establishment of research collaborations with industry and negotiating licenses for intellectual property with established and start-up companies, (c) conceptualizing and coordinating the strategic application of resources to achieve these targets, including the creation of innovative business arrangements and collaborations; and (d) supervising and mentoring technology licensing officers in the preceding activities.
As the leader for the Corporate Contracts group, this individual will be responsible for day-to-day oversight of the Corporate Contracts team. Duties and responsibilities include, but are not limited to: (a) supervising the corporate contracts team in implementing research-related contracts with for-profit partners, including, but not limited to sponsored research, collaboration, data sharing, corporate services, non-disclosure and material transfer agreements; (b) providing excellent customer service to internal and external stakeholders, (c) assignment of agreements for the Corporate Contracts group; (d) working closely with PCI's business development teams to identify new commercialization opportunities; (e) working with the Corporate Contracts team to review and modify non-standard IP provisions in contracts and problem solve issues other contracting issues in coordination with the licensing team and other administrative offices (e.g. Office of Research Services), Departments and Schools, as required; (f) Providing guidance to Penn staff and other stakeholders on navigating Penn research administration systems and processes, ensuring compliance with electronic research administration systems (e.g. Penn ERA, Inteum and the Research Inventory System); and (g) working in conjunction with the Executive Director of Licensing and the Office of General Counsel to provide updates and modifications to template agreements, as required.Job Description
Specific Responsibilities include:
- Develop strong working relationships with faculty staff, post-docs and students in SOVM, SOD, SON, GSE and other schools, as applicable. Meet with the investigators regularly to discuss research findings and assist in the identification of technologies and research programs with commercial potential. Act as a primary contact of PCI for assigned faculty and facilitate the processing and timely implementation of all PCI-managed agreements.
- Triage all assigned technologies based on analyzing their commercial potential. Provide well-articulated and supported recommendations at weekly triage/commercialization meetings regarding (a) intellectual property protection and (b) commercialization strategies. Work collaboratively with the inventors, IP team and outside counsel to develop and execute on appropriate IP strategies. Effectively communicate all recommendations and decisions to faculty.
- Perform market analysis to identify potential commercial partners and/or investors. Work with the marketing team to prepare appropriate collateral materials in support of these activities. Perform (i) due diligence on prospective partners, (ii) effectively value Penn assets, (iii) initiate and lead (or support) the structuring, negotiation and execution of appropriate agreements e.g. licenses, SRAs, etc., and (iv) manage ongoing relationships with partners.
- Deliver the highest quality of customer service to internal and external stakeholders, including assigned researchers, departments and senior leadership within the assigned schools.
- Work in partnership with and other key administrative groups at Penn (e.g. ORS, OGC, OCR) to (a) review, modify and/or incorporate, as necessary, nonstandard IP related provisions during contract drafting and negotiation, and (b) help resolve both IP and non-IP related issues related to agreements between Penn and the commercial sector.
- Supervise, train and mentor the corporate contracts team in implementing research-related contracts with for-profit partners, including, but not limited to sponsored research, collaboration, data sharing, corporate services, non-disclosure and material transfer agreements. Supervise, train and mentor technology licensing officers in Responsibilities/Duties 1-5.
- Manage assignment of agreements for the Corporate Contracts team, and evaluate and prioritize agreement work-flow. Ensure that agreements between Penn and industry partners are implemented in a timely manner, and that the team is responsive to internal and external customers.
- Identify and lead (or support, as applicable) process improvements to enhance capabilities and performance of the Corporate Contracts team. Make recommendations for template modifications, standard fall-back positions and develop/update drafting guides, all in conjunction with the Corporate Contracts team, the Executive Director of Licensing and OGC.
Ph.D. required (with strong preference for a life sciences related field), plus 7 or more years of related experience, or equivalent combination of experience and education. Experience in academic technology transfer or corporate business development is required. Candidate must have a demonstrated track record of successfully negotiating and closing license agreements and other research-related contracts with the commercial sector, including sponsored research agreements. In addition, candidate must have extensive knowledge of intellectual property, a proven ability to identify and manage inventions in diverse fields outside of their area of technical expertise, excellent time management and communication skills, strong attention to detail, and a demonstrated ability to provide outstanding customer service.
