Minimum Qualifications

Juris Doctorate (J.D.) degree from an accredited law school
Be a member, or be able to become a member through petition, of the New York Bar
Five (5) years of experience as a licensed attorney in a higher education, private law firm, or a non-profit or for-profit business organization
Substantive experience in drafting and negotiating complex contracts

Preferred Qualifications

Substantive legal experience in matters relating to higher education and intellectual property are strongly preferred
Experience in litigation or risk management matters is also preferred

Minimum Knowledge, Skills, and Abilities

Must demonstrate a clear and comprehensive understanding of legal matters such as finance, property, employment, philanthropy, real estate, university and academic governance, and commercial matters like compliance, contracts and employment and intellectual property
Requires strong leadership skills and ability to communicate and interact with diverse groups of customers
Requires strong legal acumen and judgment.
Requires strong skills in solution-oriented negotiation of complex contracts.
Requires effective customer service, resourcefulness and organizational skills.
Requires ability to effectively present information to internal and external groups and audiences.
Requires ability to read, analyze, and interpret complex regulations and documents, financial and business reports, and technical journals

The incumbent will perform works in normal office environment under sedentary conditions; the incumbent is to perform work in a fast-paced and demanding work environment; expected to work long and irregular work hours; travel occasionally; attend Institute, public, professional and social events and meetings.

Additional Information

The Associate General Counsel reports to the General Counsel and Secretary of the Institute, and provides professional legal support and counsel to Rensselaer Polytechnic Institute. The duties and responsibilities of the Associate General Counsel are to advise on, draft, and negotiate contracts; provide legal counsel to academic and administrative leaders; advise Institute leaders on contract status, legal risks and business terms of various deals; explain legal language; provide legal guidance on domestic and international joint ventures, and strategic partnerships; ensure legal objectives of the Institute are ethical and in the best interest of the Institute; research unique legal issues impacting the Institute by identifying applicable statutes, judicial decisions, and codes; keep abreast of legislative changes that may affect the Institute and its affiliates; perform pre-litigation work to minimize risks and maximize legal rights; review advertising and marketing materials to ensure compliance with legal requirements; develop solutions to complex legal questions; provide education and training to Institute leaders on substantive legal topics; represent the Institute in the areas that include of corporate, physical property, intellectual property, commercial, real estate and new venture matters. The Associate General Counsel will also assist the General Counsel and Secretary of the Institute in the role of custodian of the Institute and Board of Trustees for policies, minutes, resolutions, papers, records, correspondence and documents belonging to Rensselaer Polytechnic Institute.
