I. JOB OVERVIEW

Job Description Summary:

This position provides expert support in highly specialized areas of sponsored project and research administration. Under the direction of the Associate Director, Sponsored Projects, as a member of the Office of Sponsored Projects (OSP) in the Office of the Vice President for Research (OVPR) contracts and award acceptance team, the Contracting Officer is responsible for: the initiation, review, negotiation, and drafting of sponsored projects grants and contracts, confidentiality and teaming agreements, and other agreements related to sponsored projects or other research activities; providing expert guidance on rules and regulations pertaining to research and/or sponsored projects; coordinating, as necessary, with other University offices, including but not limited to the Office of General Counsel, Risk Management, Grants & Contracts Accounting as well as other divisions within the OVPR working in partnership with the faculty, other researchers and administrators to support the award acceptance process; representing the University to sponsors; and contributing to developing and implementing efficient processes and procedures. Specific duties and responsibilities include:

• Acts as institutional authority on contracting matters and represents University to external stakeholders with limited signature authority per VPR delegation.
• Independently reviews, negotiates, and drafts sponsored project/research and other contractual agreements, with federal, international and industry entities on behalf of the university. Such agreements may include clinical trial, confidentiality/nondisclosure, teaming, material transfer, data use, and memoranda of understanding, facilities use, and collaboration agreements.
• Reviews terms and conditions, sponsor-issued requests for proposals, other solicitations or applications for problematic terms and potential compliance issues and proposes action for resolution.
• Reviews and analyzes agreements for completeness and adherence to university policies and practice, conformance with associated proposals, relevant compliance restrictions, risk profile, financial and academic requirements, sponsor policies, and applicable regulations to ensure that University interests and rights are protected. Interprets and applies legal citations in contractual language.
• Serves as the liaison between sponsors and the University for negotiation of sponsored projects and other agreements. Provides guidance to internal stakeholders for requested revisions and amendments thereto in an informed and timely fashion. Resolves contractual issues by researching applicability of federal regulations or other non-federal terms and conditions to educational institutions and applying expert knowledge of university policies and procedures, past institutional experience and other resources to advance university's position in contracts and award acceptance. Works effectively with people across teams to formulate, and manage resolutions. Documents approvals and business decisions.
• Maintains communication with Associate Director and award acceptance staff throughout the process of receipt, negotiation, and university acceptance.
• Participates in the development, implementation, and revision of processes and structures to ensure effective and compliant business processes and operations under the direction of the Associate Director.
• Independently identifies contract risks by assessing scope and risk of non-compliant agreements/nonpreferred terms and coordinate action plans for mitigation of higher risk agreements. Identifies contractual or process issues in projects such as compliance, conflict of interest, export control, etc.
• Advises principal investigators, other faculty and researchers, departmental staff, and appropriate OVPR staff regarding award terms and conditions to ensure compliance.
• Independently exercises good judgment in terms of internal and sponsor-required prior approvals, opine on process and award management matters, and document approvals which may be auditable against university policies.
• Remains current with industry standard grants and contracts regulatory requirements and related practices through continuing education; participate in relevant industry groups and the professional network of research administration.
• Performs other work related duties as assigned. The omission of specific duties does not preclude the supervisor from assigning duties that are logically related to the position.

Minimum Qualifications:

Qualified candidates will hold a Bachelor's degree in an appropriate area of specialization plus 5 years of relevant professional experience, or, a Master's degree or higher in a relevant area of study plus 3 years of relevant professional experience. Degree must be conferred by the start date of the position. Degree requirements may be substituted with an equivalent combination of education, training and experience.

Additional Required Licenses/Certifications/Posting Specific Minimum Qualifications: Preferred Qualifications:

- Experience in contracts in a federal, industry, or university setting(s) or a combination thereof. A JD or professional contracting credential is a plus.
- Working knowledge of and ability to apply standard theories, principles, practices, and techniques applicable to grants and contracts development and research administration.
- Demonstrated experience in drafting and negotiating agreements, including complex industry contracts.
- Strong understanding and ability to interpret, communicate, and apply contracts terms and conditions, ability to assess their impact/risk to the University.
- Knowledge of policies and procedures related to research administration.
- Demonstrated knowledge of rules, policies, and regulations of funding for-profit and non-profit organizations, state, local and Federal agencies as they relate to university sponsored projects.
- Excellent communication, analytical, problem solving, organizational skills.
- Demonstrated ability to exercise judgment in resolving contractual issues.
- Demonstrated ability to meet business-driven deadlines and commitments and while maintaining a high level of quality and professionalism.
- Ability to build constructive and effective relationships with all stakeholders.
- Excellent computer skills with demonstrated proficiency using standard office programs including word processing, spreadsheets, database management, email and calendar, and online search tools.
- Takes initiative and plans and manage tasks to completion independently.
