Job Description

We are seeking a Development Executive/Attorney to join our team. You will be charged with securing an investor/purchaser for a healthcare enterprise.

Responsibilities:
  • The financial transaction whether as an investment or out-right purchase is centered only on the Management Services Organization (MSO). The IPA, called Physicians Direct Access (PDA), is the property of the physician members. Other businesses and investments of The Miers Group, LLC are separate from the MSO and its value. Thus, the MSO, as the exclusive service provider and operations resource, is what is for sale and/or investment.
    • The incumbent will coordinate with the CEO to quickly grasp the markets of general interest and range of opportunities to support placing the MSO in play.
    • Books, legal documents, etc. are believed to be in proper order. There has been a concerted effort to allow an uncluttered picture of the MSO. To grasp the potential attraction of the MSO, here are examples of the basis business model:
      • Holds a 30-year contract to perform as a for-profit MSO for an incorporated association of independent physicians and licensed healthcare providers. This structure is termed as a Independent Physician Association (IPA). Current Bylaws include the following classifications of licensed healthcare providers: Physicians, Nurse Practitioners, Physician Assistants, Chiropractors, Podiatrists, Clinical Therapists, Behavioral Therapists, etc.,
      • The IPA is contracted with 40 managed care contracts. Membership also exists with a clinically integrated organization (CIO) that is owned by Tenet Healthcare Corporation (THC: NYSE). Other contracts exist with Medicare Advantage, Workers Compensation, niche-based Specialty Disease, etc.
      • The IPA provides 150+ physicians with credentialing and professional verification as required by managed care insurers.
      • The members pay annual dues and the MSO is paid a fixed monthly fee plus the potential of a material incentive bonus. The business operates at a break even.
      • The replacement cost of the contracted managed care arrangements, physician contracts, and hospital/insurance contacts is a significant sum. It is estimated that the reconstruction of the IPA with a MSO service component would be $2.5 million in start-up capital and at least a year and a half of taxi to take-off time. This is complex to project as the post-Obamacare market is so volatile and uncertain. To recreate PDA and a MSO would be near impossible from a cold start basis.

Once an acceptable "Executive Summary" is agreed upon by the business management, the incumbent will, in a confidential manner:
  • Qualify the potential purchase and/or investment candidates and screen prior to contact with the MSO CEO.
  • Develop a professional presentation that is price & profit justifiable
  • Develop a negotiation format and schedule with prospects.
  • Establish credit assessment for candidates.
  • Coordinate sale with outside CPA
  • Log and record all inquiries and processes for sale.
  • Coordinate the sales process and documentation.
  • Lead the seller's closing.
  • Provide a post-sale history.
  • Be available for subsequent buyer-seller disputes.

Qualifications:
  • Previous experience as a merger & acquisition agent/counsel or other related fields.
  • Must be financially prepared.
  • Strong negotiation skills
  • Excellent written and verbal communication skills
  • Strong analytical and critical thinking skills
  • Strong attention to detail

Compensation:

To be individually developed after NDA is executed.
