The Secretary of the University manages, coordinates and facilitates the operations of the University of Miami Board of Trustees with a focus on leadership, governance and fiduciary responsibility to enable the Board of Trustees to effectively and efficiently promote excellence in governance and Board stewardship.

The Secretary masterfully facilitates decision making and relationships to enable the Board of Trustees to achieve key milestones, objectives and goals. This role is key in maintaining strong and productive relationships between the Board of Trustees and the senior management of the University.

Secretary directly reports to the Chair of the Board; with dotted line reporting to the President of the University. The Secretary works closely with senior administration and committee chairs to provide advice and guidance on jurisdiction, strategy, policy and process.


1. Maintains a broad, high-level view of the University and the Board’s stewardship of the University to effectively contribute to the work of the Board.
2. Enables effective governance with long-range planning, communication and problem solving on significant issues and challenges facing the Board.
3. Facilitates decision-making by ensuring that members have the necessary information on issues to engage in substantive discussions and to make decisions.
4. Investigates and conducts independent research and analysis that informs and advises the Board on issues, procedures, and Board policies.
5. Ensures that the Board’s activities comply with all pertinent legal guidelines and conform to sound governance practices by engaging in regular consultations with General Counsel.
6. Provides governance support to the Board by designing and facilitating the orientation of new board members.
7. Maintains confidentiality with highly sensitive information related to University matters, senior officials, and Board operations.
8. Records, distributes and maintains minutes of the proceedings of the Board and of all Committees.
9. Executes, or attest to, a broad range of documents necessary for the operation of the University.
10. Serves as custodian for the corporate seal and certain other official and vital corporate records and conducting or assisting others in conducting research of those records.
11. Leads planning of Board meetings, Committee Meetings and other meetings which includes identifying priorities, drafting agendas, organizing content and overseeing the logistics of each meeting.
12. Coordinates material provided to The Board for action and information including reviewing content for completeness, accuracy and responsiveness.
13. Oversees a staff in providing support for Committee and Board meetings, which may include analyzing data and information, tracking issues, following up on actions, and providing other assistance.
14. Ensures the Board receives reports needed to fulfill their governance function by communicating report status, maintaining a report schedule, monitoring the report development, and assuring distribution of reports provided from University departments.
15. Administers the annual operating budget for the Board, ensuring that expenditures are approved per University policies and guidelines.
16. Develops messaging and communications on behalf of the Board and its members.
17. Assists in the execution of board related projects, initiatives and mandates to further the board’s fulfillment of its governance responsibilities.
18. Participates in administrative work groups that include Board members as requested to provide appropriate support to The Board member(s).
19. Responsible for internal control oversight to ensure compliance with laws and regulations, safeguarding of assets, reliability of internal and external reporting, and efficiency and effectiveness of operations. This includes creation of an effective control environment, conducting risk assessment, and implementing and monitoring controls.

Master’s degree in Business Administration, Public Policy, Law or related field.

Certification and Licensing:

Minimum 10 years in a high-level administrative role.
